These Terms & Conditions (the “Terms”) govern your access to and use of the R3d Cup Network platform, websites and apps (together, the “Platform”). They apply to everyone who uses the Platform, whatever your role - customers, movers, merchants and platform administrators. By creating an account or using the Platform, you agree to these Terms.
1. Who we are
R3d Cup Network (“R3d Cup”, “we”, “us”) operates a white-label commerce and delivery platform that connects local businesses, their customers and independent movers. We provide the technology that connects these parties; we are not the seller of the goods listed and, in most cases, we do not employ the movers who deliver them.
2. Definitions
- Customer - a person who browses and orders from merchants through the Platform.
- Merchant - a business that lists products or services and fulfils orders.
- Mover - an independent courier who accepts and delivers orders.
- Administrator - a person authorised to operate the Platform on behalf of R3d Cup.
3. Accounts & eligibility
- You must be 18 or older to hold an account (in Kenya a person under 18 is a child). You confirm this when you sign up.
- You are responsible for the accuracy of the information you provide and for keeping your password confidential.
- You are responsible for all activity that happens under your account. Tell us immediately if you suspect unauthorised use.
- We may suspend or close accounts that breach these Terms or that we reasonably believe are being misused.
4. The role of R3d Cup
R3d Cup is a connecting platform. Each merchant sells under its own brand and sets its own prices; each mover operates as an independent business. R3d Cup charges 0% commission and does not take a cut of order payments or mover earnings. Contracts of sale are formed directly between the customer and the merchant, and delivery is performed by the mover.
5. Customers
- Orders are offers to buy from the merchant. A contract forms when the merchant accepts the order.
- Prices, availability, preparation and delivery times shown are provided by merchants and may change.
- Before you pay you see the merchant’s name, every item, the delivery fee, any payment processing fee, and the total. Nothing is added afterwards (Consumer Protection Act, 2012).
- Your receipt and order record stay in Orders in the app, so you always have a copy of what you agreed to.
- Once a merchant has started preparing an order it may not be cancellable. Cancellation and refund outcomes are decided with the merchant, without affecting your rights under the Consumer Protection Act.
- Ratings and reviews you submit must be honest and must not contain unlawful, offensive or misleading content.
- You must provide a delivery address and, where relevant, the handover code to receive your order.
6. Merchants
- You are responsible for your catalogue: accurate descriptions, prices, allergen and safety information, and applicable licences.
- You must fulfil accepted orders and comply with all consumer-protection, food-safety, tax and licensing laws that apply to your business, including your county business permit, any food hygiene or pharmacy licence, and your KRA obligations (such as eTIMS invoicing where required).
- You resolve issues raised by your customers yourself, using the tools in your dashboard. RedCup does not arbitrate disputes between merchants and customers.
- You use customers’ details only to fulfil their orders, in line with Kenya’s Data Protection Act.
- You are responsible for collecting and remitting any taxes due on your sales.
- You grant R3d Cup a licence to display your name, logo, branding and listings on the Platform for the purpose of operating your storefront.
- Subscriptions. No subscription is charged in the app today. If one is introduced, the price, billing period, renewal date and how to cancel will be shown right next to the subscribe button before you pay. It will never renew without that disclosure, and you will be able to cancel at any time.
7. Movers
- Movers are independent contractors, not employees of R3d Cup. You decide when to go online and which offers to accept.
- You keep 100% of the delivery fee for jobs you complete. R3d Cup does not deduct commission from your earnings.
- You must hold valid identification, and where required, vehicle documents and insurance, and keep them up to date for verification.
- You must deliver safely and lawfully, respect customers and merchants, and use the handover code to complete each delivery.
- You are responsible for your own taxes, equipment and any costs of operating as an independent courier.
8. Administrators
Administrator access is granted for operating the Platform on behalf of R3d Cup. Administrators must only access data as needed to run the service, keep credentials secure, and comply with our internal policies and applicable law.
9. Payments
- Payments are processed through third-party providers depending on your location - for example M-Pesa (Paybill/Till) in Kenya and TWINT in Switzerland.
- Prices are shown in the merchant’s local currency (e.g. KES or CHF).
- R3d Cup does not store full payment credentials; these are handled by the payment provider.
10. Acceptable use
You agree not to misuse the Platform. In particular you must not: break the law; infringe others’ rights; upload harmful or fraudulent content; attempt to gain unauthorised access; interfere with the Platform’s operation; or use it to harass any person.
11. Intellectual property
The Platform, its software, and the R3d Cup name and marks are owned by R3d Cup or its licensors. Merchants retain rights in their own brands and content. You may not copy, modify or reverse-engineer the Platform except as allowed by law.
11a. Content you upload, and copyright takedown
Merchants, customers and movers may upload photos, logos and messages. You must own them or have permission to use them. If you believe content on RedCup infringes your copyright, send a takedown notice under the Copyright Act (Cap. 130), section 35, to info@redcup-network.com. Include:
- your name and contact details;
- the work you own;
- a link to, or description of, the content;
- a statement that its use isn’t authorised;
- a statement that the notice is accurate.
We act on valid notices within 48 hours: we remove or disable the content and tell the person who uploaded it, who may respond. Repeat infringers lose their accounts.
12. Disclaimers & liability
The Platform is provided “as is”. To the fullest extent permitted by law, R3d Cup is not liable for the quality, safety or legality of merchant goods, the conduct of customers, merchants or movers, or for indirect or consequential losses. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence.
13. Termination
You may stop using the Platform and close your account at any time. We may suspend or end your access if you breach these Terms or where we are required to by law.
14. Governing law
For users and businesses in Kenya, these Terms are governed by the laws of Kenya and disputes go to the courts of Kenya. Nothing here limits your rights under the Consumer Protection Act, 2012, or the Data Protection Act, 2019. For users in Switzerland, Swiss law applies and the courts of the merchant’s or mover’s place of business have jurisdiction, without affecting mandatory consumer rights.
15. Changes
We may update these Terms from time to time. When we make material changes we update the “last updated” date and ask you to confirm the new version in the app before you continue.
